DEMAND PROMISSORY NOTE


For value received, the undersigned hereby promises to pay to the order of                                       ,
the principal amount of                            , together with interest thereon at the rate of            % per
month, compounded monthly, calculated from the date of the making of this note.

The principal, in partial or in full, and accrued interest shall be payable immediately upon demand of any
holder of this note.

Payment shall by made by the undersigned delivering to the holder a bank check or at the option of the
holder, a certified check, in the amount due including interest, during normal business hours at the corporate
address of the Company, or at such other reasonable place as the holder of the note may designate in the
notice.

If the principal and accrued interest shall not have been paid within five (5) days of demand, the undersigned
agrees to pay all reasonable attorney's fees and cost of collection.

For value received, the undersigned authorizes any Attorney at Law to appear in any court of record in the
State of                                 , or in any other state in the United States, after this obligation becomes
due, and to waive the issuing and service of process and to contest a Judgement against the undersigned
in favor of the holder hereof for the amount then appearing to be due, together with the costs of suit, and
to thereupon release all errors and to waive all right of appeal. 

Warning: By signing this paper, you give up your right to notice and court trial.  If you do not pay on time,
a court judgement may be taken against you without your prior knowledge and the powers of a court can
be used to collect from you regardless of any claims you may have against the holder, whether from failure
on his part to comply with any agreement or any other cause.
