My company is scheduled for an Audit by one of our Customers, (we are the supplier.) What type of confidentiality agreement should I have in place to ensure that they do not retain any of our propriety information? This company in the past has seen our processes and then created their own and we lost their business for that product.
I have been a Lead Auditor for over 7 years now and this will be my first customer/supplier audit.
Do any of you have a confidentiality agreement in place for these audits??

I second what Jim said. Irrespective of that, nothing prevents you from making it clear that picture-taking, document-copying, sample-taking, etc by the customer representatives are strictly disallowed.

You can browse on the web, and will find a lot of samples of agreements which can be adapted for what you need, but
better is to hire a lawyer for that, that for sure will cost you $$$.

If your company doesn't have the legal resources for a binding non-disclosure and intellectual property agreement then do not let your customer keep any copies of any documents or take any photos in the plant. And limit the number of auditors/visitors
OR - don't let them audit at all.
